STANDARD TERMS & CONDITIONS

This Terms and Conditions agreement ("Agreement") governs the provision of creative, animation, and motion graphics services by Hollowpixel Studio Ltd ("Company") to the client named in the accompanying Project Scope ("Client").

1. Definitions and Project Initiation

• Project Scope: The detailed breakdown of deliverables, budget, and timelines agreed upon in writing.

• Commencement: Work begins only after the Company receives a signed Project Scope and any required upfront payment (typically 50%) .

2. Intellectual Property (IP) Rights

• Standard Working Agreement: Unless otherwise explicitly agreed in writing within the Project Scope, the terms below constitute the standard working agreement of Hollowpixel Studio Ltd.

• Working Files: The Company retains sole ownership, title, and intellectual property rights of all raw project assets, including but not limited to 3D models, rigs, code, project files, and source code (e.g., .ae, .max, .c4d, .blend).

• Final Deliverables: Upon receipt of final payment, the Client receives an exclusive license to use the final rendered video files for their intended commercial purposes.

• Pre-Contract Negotiations: If requested and negotiated prior to the signing of the contract, the Company will issue a written statement agreeing to deliver a specified "subsection of working materials" (such as only the editing files or only the CG layout files) or all native working materials upon project completion.

• Post-Contract Requests: If the Client requests raw working files, project files, or native assets after the project has been negotiated and work has commenced, the Company is under no obligation to provide them. Any release of these materials at this stage will incur an additional delivery and licensing fee, to be levied at the Company’s discretion.

• Showreels: The Company reserves the right to use snippets of the final video and behind-the-scenes assets in its own marketing, portfolios, and showreels, unless a non-disclosure agreement (NDA) specifies otherwise.

3. Payment Terms & Invoicing

• Payment Window: Invoices must be paid within 14 days from the date of issue.

• Suspension of Work: The Company reserves the right to pause production or withhold final digital delivery if payments are late.

4. Client Content & Clearances

• Ownership: The Client guarantees they own or have licensed all text, logos, audio, and materials provided to the Company.

• Indemnity: The Client will protect and defend the Company against any legal claims regarding copyright infringement from Client-supplied assets.

5. Termination & Cancellation

• Kill Fee: If the Client cancels the project mid-production, they are liable for a sliding scale cancellation fee. This fee is calculated based on the work remaining and milestone progress, as reasonably determined by the Company.

• Material Breach: Either party can terminate the project instantly if the other party breaches these terms and fails to remedy it within 7 days of written notice.

6. Limitation of Liability

• Cap on Liability: The Company’s total liability for any claims, losses, or damages arising from a project is strictly capped at the total amount paid by the Client for that specific project.

• Indirect Losses: The Company is not liable for any indirect commercial losses, missed profits, or data corruption.
